Guarnera Advogados supports Prima Sole Components in the acquisition of the brazilian operations of Batz Group

An articulated negotiation, which provided for the signing in December 2019, allowed the Italian Group PSC, a leader in the production of automotive components and with revenues of more than Euros 700 million in 2019, to consolidate its position in the Brazilian automotive market.

Guarnera Advogados, an Italian-Brazilian international law firm, supported the Italian automotive company Prima Sole Components (PSC) in the acquisition of the Brazilian subsidiary of the Spanish Group Batz, leader in the supply of components to the automotive market.

The acquisition is a result of a complex negotiation that ended with the signing in December 2019 and consolidates Prima Sole Components’ presence in the plastic components market for cars, motorcycles and appliances, as well as strengthens the company’s position as a reference within such sector in the international market.

Guarnera Advogados worked with its own M&A team, leaded by Avv. Giacomo Guarnera, founding parter, and the Brazilian lawyers Anna Lucia Gonçalves and Marco Aurelio Gonzaga da Cunha, both partners of the practice. The financial due diligence was carried out by GSA Advice, under the supervision of Wagner Rapace.

Through its 5 business units around the globe, Prima Sole Components is engaged (in both national and international level) in the production of plastic and thermoplastic components and systems for automobiles (trucks, commercial vehicles and agricultural vehicles), motorbikes and appliances. In particular, the company designs and manufactures assembly system of the components used by its industrial customers.

Prima Sole Group thus consolidates its position in Brazil after commencing its activities in the country by 2015, through the incorporation of PSMM, a company engaged in the production of plastic components for the automotive sector, with headquarters at Goiana, in Pernambuco State. Such company is owned by Prima Sole Components and Fca (50% by each company) and is a supplier of the FCA manufecturing unit at Goiania, Pernambuco.
